Announcement regarding Transfer of Subsidiaries

Toyota Tsusho Corporation (hereinafter referred to as "Toyota Tsusho") and Tomen Corporation (hereinafter referred to as "Tomen") have reached an agreement on the merger of the two companies with the merger date projected for April 1 this year, as announced in the "Conclusion of Merger Agreement between Toyota Tsusho and Tomen" dated December 6, 2005, with the assumption that this will be approved by the general shareholders meetings of both companies. Due to this merger, all subsidiaries of Tomen as of April 1 this year will become subsidiaries of Toyota Tsusho, the surviving company of the merger.
Of the companies that are currently subsidiaries of Tomen, the transfer of five companies, including Tomen Electronics Corporation, P.T. Styrindo Mono Indonesia, Tomen Power Corporation, Tomen Power (Singapore) Pte. Ltd., and Tomen America Inc., corresponds to the "Transfer of Subsidiary Company" as stipulated by Article 2 Section (1) Subsection 1 of the "Regulations Regarding Timely Disclosure of Company Information by Issuer of Listed Marketable Securities". We, therefore, hereby make the following announcement:
