Notice Regarding the Restructuring of Corporate Subsidiary Divisions

As a result of the merger agreement between Toyota Tsusho Corporation (hereinafter referred  to as "Toyota Tsusho"; Headquarters: Nagoya City, Aichi Prefecture; President: Junzo Shimizu) and Tomen Corporation (hereinafter referred to as "Tomen"; Headquarters: Osaka City, Osaka Prefecture; President: Mahito Kageyama) projected to be effective April 1, 2006, the two companies have made a decision to restructure subsidiary companies.
The purpose of the move is to clarify the scope of business for corporate divisions and to efficiently utilize management resources.

1.Toyotsu Business Service Corporation and Tomen Business Support Ltd. shall be merged to form Toyotsu Business Service Co., Ltd.

Post Merger Capital ; JY40 million 
Date of Merger ; April 1, 2006

2.Of the operations of Toyotsu Business Service Corporation and Tomen Business Support Ltd., human resources operations shall be transferred to Toyotsu Tomen Human Resources Corporation and general services operations shall be transferred to Toyu Intex Corporation.

Operations Transfer Date  ;  April 1, 2006

3.Toyotsu Tomen Human Resources Corporation shall be renamed Toyotsu Human Resources Corporation.

Date of Change  ;  April 1, 2006 
 
4.Toyu Intex Corporation shall be renamed and its head office shall be moved to a new location.

New Company Name  ;  Toyotsu Office Services Corporation.
Head Office Location  ;  Nagoya City, Aichi Prefecture (formerly Chiyoda-ku, Tokyo) 
Date of Change  ;  April 1, 2006
