Integration of Information and Telecommunications Related Subsidiaries

As a result of the merger agreement between Toyota Tsusho Corporation (hereinafter referred to as "Toyota Tsusho"; Headquarters: Nagoya City, Aichi Prefecture; President: Junzo Shimizu) and Tomen Corporation (hereinafter referred to as "Tomen"; Headquarters: Osaka, Japan; President: Mahito Kageyama) projected to be effective April 1, 2006, the two companies have made a decision to merge three information telecommunications related subsidiary companies.
The purpose of the move is to efficiently utilize management resources and to increase profitability.
Toyotsu Syscom Corporation (Headquarters: Nagoya City, Aichi Prefecture; President: Kunio Ohtani
Tomen Information Systems Corp. (Headquarters: Chiyoda-ku, Tokyo; President: Susumu Tsuchiya)
Tomen Telecom Corporation (Headquarters: Chiyoda-ku, Tokyo; President: Yoichiro Iwasaki)
=Toyotsu Syscom Corporation
With this move,
the 1.mobile communications business that Toyotsu Syscom Corporation and Tomen Telecom Corporation operated before the merger,
the 2. IT solutions business that Toyotsu Syscom Corporation and Tomen Information Systems Corporation operated before the merger and
the 3. information telecommunications business and
the 4.content business that Tomen Telecom Corporation operated before the merger shall be merged.
By doing so, the complementary functions and resources of the three companies are combined and broader synergies are available for use.
