Announcement of Basic Merger Agreement

Toyota Tsusho Corporation (hereinafter referred to as *Toyota Tsusho*) and Tomen Corporation (hereinafter referred to as *Tomen*) are pleased to announce that resolutions were passed at their respective board of directors meetings held on October 28, 2005, to conclude a basic agreement on the merger of the two companies to take place on April 1, 2006.
Be advised that the formal decisions regarding the matters stated below and other details pertaining to the merger shall henceforth be made, based upon deliberations by both parties.
