Notice of Sale of Stock

Tomen Corporation announced today that it has transferred all of the stock it held in S. C. Orange Romania S.A. (Bucharest, Romania), comprising of 5.45% of the outstanding issued stock of the said company, to Wirefree Services Belgium (Brussels, Belgium), a member of the Orange SA group.
Outline of the transaction is as follows:-

Tomen decided to transfer all of its stock to Wirefree Services Belgium, the second largest shareholder of S.C. Orange Romania S.A., as part of the restructuring of its business portfolio. |

| 5. | Outlook
As a result of the stock transfer, Tomen has made a profit of approximately 4 billion yen on consolidated and non-consolidated basis for Tomen's fiscal year ending March 31, 2004. However, the effects of this transfer on the results of the fiscal year will be announced at a later stage once the other factors impacting upon the fiscal results have been identified. |
